These Terms of Service ("Terms") govern your use of the OpenVoiceControl desktop applications, websites, software, and related services (collectively, the "Service") provided by OpenVoiceControl ("we," "us," or "our"). By downloading, installing, or using our Service, you agree to these Terms. If you do not agree, do not use our Service.

1. Service Description

OpenVoiceControl provides AI-powered voice-to-text dictation, AI-assisted formatting, and voice interaction features designed specifically for professional users. We offer various editions:

• Free/Open Source Edition: Runs locally on your hardware.
• Pro Edition: Cloud-enabled transcription and AI processing.
• Teams/Enterprise Editions: Customized solutions tailored for business and organizational needs.

2. User Eligibility and Accounts

• You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
• You agree to provide accurate, current, and complete account information and maintain its accuracy.
• You are solely responsible for safeguarding your account credentials and promptly reporting any unauthorized use.

3. License and Usage

Subject to your compliance with these Terms, OpenVoiceControl grants you a limited, non-exclusive, revocable license to install and use the Service solely for your personal or internal business purposes. You agree not to:

• Copy, modify, distribute, sell, sublicense, or otherwise exploit the Service commercially without explicit permission.
• Reverse engineer, disassemble, or otherwise attempt to discover or replicate the Service's underlying technology.
• Use the Service unlawfully or in violation of any regulations.

4. Data and Privacy

Your use of the Service is governed by our Privacy Policy. You acknowledge and consent to the processing of your data as outlined in our Privacy Policy.

• Local (Free/Open Source) Edition: Voice data remains solely on your device.
• Cloud (Pro/Teams) Editions: Voice data is processed in real-time via secure cloud servers and never stored after transcription.

5. User Responsibilities

You acknowledge that AI-generated transcriptions may contain errors. You agree to:

• Independently verify transcription accuracy.
• Use the Service responsibly, ensuring data security and privacy practices are maintained.
• Comply with all applicable laws and professional standards relevant to your industry.

6. Payments and Subscriptions

Certain features require payment:

• You agree to provide accurate billing information and authorize recurring charges where applicable.
• Subscriptions renew automatically unless canceled before the renewal date.
• You are responsible for any taxes or additional fees required by your jurisdiction.

7. Intellectual Property Rights

OpenVoiceControl retains all rights, titles, and interests in the Service, including copyrights, trademarks, and other intellectual property rights. Nothing in these Terms grants you rights to our intellectual property except the limited license described herein.

8. Termination

You may terminate your account anytime by contacting support@openvoicecontrol.com or via your account settings.

We reserve the right to suspend or terminate your account and Service access if:

• You breach these Terms.
• Your use of the Service poses a risk to us, our users, or others.
• Required by law.

Upon termination, you remain liable for any outstanding charges incurred prior to termination.

9. Limitations of Liability

To the extent permitted by law:

• OpenVoiceControl is not liable for indirect, consequential, exemplary, incidental, special, or punitive damages.
• Our total liability shall not exceed the amount paid by you for the Service within the preceding 12 months or USD $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless OpenVoiceControl and its affiliates from all claims, liabilities, damages, and expenses (including legal fees) arising from your use or misuse of the Service, violation of these Terms, or infringement of intellectual property or other rights.

11. Arbitration and Dispute Resolution

We encourage amicable resolution through support@openvoicecontrol.com. If unresolved, disputes must be settled by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration shall occur in San Francisco, California, USA.

• You waive your right to participate in class action or representative proceedings.
• This arbitration clause does not restrict small claims court proceedings if applicable.

12. Updates to Terms

We may update these Terms periodically. Changes will be communicated via the Service or email. Continued use after updates constitutes your acceptance.

13. Governing Law

These Terms are governed by the laws of California, USA, without regard to conflict of law principles. Any legal actions must occur within courts in San Francisco, California.

14. Severability

If any provision of these Terms is deemed unenforceable, the remaining provisions will remain fully enforceable.

15. Entire Agreement

These Terms, combined with our Privacy Policy, constitute the complete agreement between you and OpenVoiceControl concerning the Service.
